Making Girona Buddies an entity

There are six steps to making Girona Buddies an association.

Step 1 – Draw up the founding minutes[edit]

We need three people to write down their details and sign it.

  • Founding members: Paul, Tessa, and Tessa's husband Nigel (these were three people who agreed to do it and were available)

Step 2 – Write the statutes[edit]

These are the basic principles and structure of the association.

Step 3 – Register in the Registre General d’Associacions[edit]

Go to this form and enter our details: Generalitat Registration Page Fee: 62,55 €

  • ✅ Submitted on 4 April 2025
  • ✅ Approved on 21 July 2025, stating Girona Buddies is officially registered under number 77998

Paul received the following documents electronically:[edit]

  • A letter that says "I am sending you, attached, the resolution issued in relation to your application for the registration of the entity called Associació Girona Buddies, as well as the duly processed founding act and statutes. On another note, since the entity's NIF (Tax Identification Number) is an essential requirement for accessing grants and subsidies offered by public administrations, I ask that, as soon as you obtain the final NIF, you notify this Territorial Service. You can do so using the generic request form available in the procedures section of the Generalitat de Catalunya’s website."
  • A document from the Director dels Serveis Territorials de Justícia that says "Resolution by which the entity named Associació Girona Buddies is registered in the Register of Associations of the Generalitat of Catalonia." The resolution is "to register the association named Associació Girona Buddies in Section 1 of the Register of Associations of the Generalitat of Catalonia."
  • An "Acta diligenciada" which is the Acta fundacional de l'associació Paul originally filled in with details of the president, secretary and treasurer, except this copy has a stamp from the Generalitat de Catalunya that says "I certify that the content of this founding act matches the original held by the entity, whose registration details are listed below."
  • The Girona Buddies statues, but with a stamp from the Generalitat de Catalunya that says "I certify that the content of this founding act matches the original held by the entity, whose registration details are listed below."

Step 4 – Register at the Generalitat Headquarters in Girona[edit]

This step refers to physically presenting the documents and receiving a stamped copy in person (or doing it digitally).

  • ✅ Done on 21 July 2025 At least, we think. Based on the documents, Paul has likely completed this step, since the registration is finalized and he has received validated copies.

Step 5 – Go to the Tax Office in Girona to get a NIF and IVA exemption[edit]

  • From Step 3, Paul received a letter that says “Atès que el NIF de l’entitat és una dada imprescindible per poder accedir als ajuts i subvencions convocats per les administracions públiques, us demano que tan bon punt obtingueu el definitiu, el comuniqueu en aquest Servei Territorial.” (“Since the NIF of the entity is essential to access public grants and subsidies, I ask that as soon as you obtain the definitive one, you inform this Territorial Service.”) which implies we have a temporary NIF, but Paul can't find one
  • "Amb la còpia segellada de la sol·licitud, cal anar a la delegació d'Hisenda per demanar un NIF provisional i l'exempció de l'IVA, si es considera adient." (With the stamped copy of the application, you must go to the Tax Office (Hisenda) to request a provisional NIF and VAT exemption, if deemed appropriate.)

  • According to the above link, the form seems to be "Modelo 036. Censo de empresarios, profesionales y retenedores - Declaración censal de alta, modificación y baja."
    • First go to https://sede.agenciatributaria.gob.es/Sede/declaraciones-informativas-otros-impuestos-tasas/impuesto-sobre-actividades-economicas/modelos-036-037.html and click on Modelo 036. Cumplimentación, validación y obtención en PDF para su impresión.
      • DO NOT click "Persona Fisica", you have to click "Persona Juridica"
      • Leave the NIF blank (as you don't have one yet) and for 102 Razón o denominación social, enter "Associació Girona Buddies"
      • DO NOT click Alta en el censo de empresarios, profesionales y retenedores unless Girona Buddies will be handling money, and you have to fill in tax forms every year
      • For Firma en calidad de choose "Representante".
      • So the first page should look like this:
        • 101: Leave blank
        • 102: Associació Girona Buddies
        • 103: Leave blank
        • 110: Tick it
        • Go down and put your name, date, and location
      • Go to page 2B. For B1/B2 Persona jurídica o entidad residente o constituida en España, choose Si
      • For B9 Fecha constitución, put 21/07/2025
      • For 65 ¿Tiene personalidad jurídica? choose Si, because we are a registered entity.
      • For 68, tick 68 Persona jurídica, then in Forma jurídica (69) select “Otras asociaciones"
      • For Domicilio fiscal en España, you have to put an address
      • For B13 Put "S/N", which means sin numero
      • For B39 choose "inmueble sin RC asignada" because I can't be bothered to look up this number
      • For page 3, you have to enter the details of the president. Put 02 – LEGAL: Personas jurídicas residentes o constituidas en España, and 13 – Documento privado sin firma legitimada notarialmente
      • Click Generar predeclaracion
      • This generates the form
    • Then go to https://sede.agenciatributaria.gob.es/Sede/procedimientoini/G322.shtml. If you click on Modelo 036. Solicitud de asignación de NIF de entidad - no presencial, then in theory you can submit the form from your computer, without going to an office. You need a digitial certificate on your computer.

Note: If you go to https://sede.agenciatributaria.gob.es/Sede/procedimientoini/G322.shtml and click on Modelo 036. Cumplimentación y presentación telemática. You need the Cl@ve Móvi or a certificado electrónico. If you get past this step, it then asks you to "Indique cómo desea actuar". If you select "Actuar como representante de" then it forces you to enter a NIF for Girona Buddies, even though you don't have one yet. Jesus Christ. It traps you in a loop. So you can’t go through the “Actuar como representante” option because the entity doesn’t exist in their system yet.

2025-09-05: I (Paul) got a call from Hacienda explaining what I did wrong on the form (modelo 36)

  • 101 I should put nothing
  • 102 I should put the name of the assocasion (Girona Buddies)
  • 103 nothing
  • 110 tick it
  • go down and sign it

all the other stuff I did in the form is correct. They said I have to submit all the documents again. I updated the instructions above, filled inthe Modelo 036 properly, and submitted all the documents again.

2025-09-23: Okay, we finally got the NIF, it's G22945927

Step 6 – Register in the Municipal Registry of Entities[edit]

Also consider registration in other local censuses or directories.
